DO NOT REGISTER OR PARTICIPATE IN THIS SWEEPSTAKES IF YOU DO NOT MEET THE ELIGIBILITY REQUIREMENTS SET FORTH IN THESE OFFICIAL RULES.

SPONSOR:

Huntington Learning Centers, Inc., a New Jersey corporation located at 496 Kinderkamack Road, Oradell, NJ 07649 ("Sponsor").

ELIGIBILITY:

Sponsor's "Text 4000" Sweepstakes (the "Sweepstakes") is open only to high school students who are legal residents of the United States, excluding Rhode Island, at the time of entry, except where void, who meet the eligibility requirements set forth in these Official Rules (as defined below). By participating in this Sweepstakes, the entrant (the "Entrant") and the parent or legal guardian of the Entrant (if the Entrant is less than 18 years of age or otherwise below the age of majority in their state of residence) accept and agree to be bound by these Official Rules. An entrant under the age of 18 or below the age of majority in their state must seek permission from their parent or guardian before entering. Employees and franchisees (and their employees) of the Sponsor and its parent companies, affiliates, subsidiaries, sales representatives, advertising, sales promotion, and judging agencies, and all other service agencies involved with the development, production, implementation, administration, or fulfillment of the Sweepstakes, and members of the immediate families (defined for these Official Rules as spouses, parents, children, siblings, and each of their respective spouses, regardless of where they reside) or individuals living in the same household (whether related or not) of any of the above are not eligible to participate in this Sweepstakes.

SWEEPSTAKES PERIOD:

This Sweepstakes begins on January 1, 2023 at 12:00 A.M. (EST) and ends on June 30, 2023 at 11:59 P.M. (EST) (the "Sweepstakes Period").

HOW TO ENTER:

Entrants may enter the Sweepstakes in the two (2) ways specified below. Please note that there is a limit of one (1) entry per person, regardless of the method of entry, and entries received in excess of the stated limitation will be discarded and may subject the Entrant to being disqualified from participating in this Sweepstakes. Each entry must include the entrant's name, address, age, zip code, and daytime and evening phone numbers.

Text Message Entry:

During the Sweepstakes Period, from your mobile phone, text "4000" to 1-844-400-0043 and you will then be sent a text message ("Response Text Message"). The Response Text Message will contain the website address located at http://huntingtonhelps.com/contest (the "Website") where you can go and provide the required information to register for the Sweepstakes. Entrants must have a mobile phone with text messaging capabilities to enter by text message. Entrants that are entering this Sweepstakes via text message may incur a standard text message charge from their wireless service provider for each message sent and received. Check with your wireless service provider for details on these and other applicable charges. You may receive reply messages and by texting an entry, the Entrant grants permission to the Sponsor to notify them via a return text message and the Entrant further agrees to accept all such applicable charges associated therewith. IF YOU DO NOT WANT TO RECEIVE ANY SUCH TEXT MESSAGES, THEN YOU SHOULD ENTER THE SWEEPSTAKES USING THE MAIL-IN OPTION BELOW. Sponsor, in its sole discretion, may add or delete a cellular carrier at any time, without notice. Proof of sending a text message to the short code specified above is not proof of delivery to or receipt by Sponsor of entry into the Sweepstakes Entrants are solely responsible for any such wireless charges. Not all wireless carriers may participate. All entries must be received and/or recorded during the Sweepstakes Period. Entrants may be asked to answer survey questions or to consent to receive promotional emails or offers, all of which are completely optional. Entrants are not required to answer questions or to give consent to receive such emails or offers in order to participate in or win this Sweepstakes. This Sweepstakes is no way sponsored, endorsed, or administered by Facebook, Inc. ("Facebook"). Entrants understand that they are providing information to Sponsor and not to Facebook. Please direct any questions, comments, or complaints regarding this Sweepstakes to Sponsor and not to Facebook.

Mail-in Entry:

Entrants may also enter the Sweepstakes by mailing their entry during the Sweepstakes Period to Sponsor on a 3 x 5 notecard with their name, address, age, zip code, daytime and evening phone numbers, and email address (optional) to: Huntington Learning Center's Text 4000 Sweepstakes, 496 Kinderkamack Road, Oradell, NJ 07649. Mail-in entries must be postmarked by 6/27/2024 and received by Sponsor by 6/30/2024 to be considered a valid entry into the Sweepstakes.

General:

By entering the Sweepstakes, Entrant agrees that Sponsor, in its sole discretion, may disqualify Entrant's participation from this Sweepstakes if Sponsor believes that Entrant failed to comply with these Official Rules. Personal data relating to Entrants will be retained by Sponsor for a reasonable period upon the conclusion of the Sweepstakes Period to allow Sponsor to operate the Sweepstakes and other promotional activities in a consistent manner and to deal with any queries on the Sweepstakes, as well as to send information about Sponsor's products to Entrants. If you are selected as a prize winner, your information may also be included in a publicly-available winners' list. Sponsor will not verify receipt of entries. Multiple Entrants are not permitted to share the same email address or the same home address for entry into this Sweepstakes. Any attempt by an Entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods, will void that Entrant's entries and that Entrant may be disqualified in Sponsor's sole discretion. Use of any automated program to enter may result in disqualification in Sponsor's sole discretion.

SWEEPSTAKES:

By entering the Sweepstakes, each Entrant: (i) agrees to be bound by these official rules (the "Official Rules"), any terms and conditions governing the use of the Website, and all applicable federal, state, and local laws and regulations; (ii) agrees that Sponsor shall own all right, title, and interest in and to the entries submitted to Sponsor; (iii) consents to the collection and use of their personal information for purposes such as identity verification, publicity, and the general promotion of this Sweepstakes and Sponsor's products or services; (iv) accepts the results of the Sweepstakes as final in all matters relating to this Sweepstakes; and (vi) acknowledges that the Sponsor reserves the right to cancel, terminate, modify, or suspend the Sweepstakes in its sole discretion.

DRAWING DATE AND WINNER SELECTION:

One winner will be randomly chosen on or about 7/15/2024 based on all eligible entries received during the Sweepstakes Period. If an Entrant is chosen to be the winner of the Sweepstakes, but the Entrant is considered ineligible or found to be in violation of these Official Rules, Sponsor reserves the right to randomly select another winner based on the other eligible entries received. The previously chosen Entrant shall not be entitled to any prize, compensation, or monetary value whatsoever and Sponsor will have not any further obligation to the previously chosen Entrant. Each Entrant explicitly agrees that after Sponsor's declaration of a winner of this Sweepstakes no other prize will be awarded in connection with this Sweepstakes.

WINNER NOTIFICATION:

The winning Entrant will be notified via email if they entered the Sweepstakes through the Website or the address provided in their 3 x 5 notecard mailed to Sponsor. Failure of the winning Entrant to respond within ten (10) days of notification will result in disqualification, following which an alternate winner shall be chosen. In the event of a dispute as to the identity of an Entrant, the Entrant is deemed to be the authorized account holder of the email address provided in connection with Entrant's entry if the Entrant enters through the Website or the person residing at the physical address if the Entrant enters the Sweepstakes by mailing in their 3 x 5 note card. The "authorized account holder" for this Sweepstakes is defined as the natural person to whom an email account is assigned or maintained through the provider of such email platform.

GRAND PRIZE:

The grand prize for winning this Sweepstakes shall be Four Thousand Dollars ($4,000.00). The prize is non-transferrable and no substitution will be made except as provided herein at the Sponsor's sole discretion. Sponsor reserves the right to substitute the listed prize for one of equal or greater value for any reason in its sole discretion. The winner of the Sweepstakes shall be required to sign and return to Sponsor, within ten (10) days of the date sent by Sponsor, an affidavit of eligibility (failure to do so shall result in disqualification), and shall be responsible for the payment of all applicable federal, state, and local taxes on the prizes and for any other expenses associated with the grand prize not specifically described herein. If the winner is under 18 or the age of majority in their state, their parent or legal guardian will be required to sign and return the aforementioned affidavit, and receive the grand prize on behalf of the winner.

RELEASE AND INDEMNITY:

By participating in this Sweepstakes, each Entrant agrees that Sponsor and its franchisees and their affiliate companies, advertising and promotion agencies, any entities involved in the administration or advertisement of this Sweepstakes (specifically including, without limitation, Facebook), and all of their agents, directors, officers, representatives, shareholders and employees will have no liability whatsoever for any claims arising from or related to the Sweepstakes, and each Entrant, agrees to indemnify, defend, and hold the foregoing parties harmless from and against, any claims, injuries, losses, or damages of any kind arising from or related to such Entrant's participation in this Sweepstakes. Entrant hereby waives any right to claim ambiguity in this Sweepstakes or these Official Rules.

LIMITATION OF LIABILITY:

Sponsor shall not be responsible for typographical or other errors in the printing, the offering or the administration of this Sweepstakes, or in the announcement of any winner or prize awards. Sponsor shall not be responsible for lost, late, misdirected, undeliverable, or incomplete entries due to system errors or failures, or faulty transmissions or other telecommunications malfunctions and/or entries not received that result from any hardware or software failures of any kind, lost, failed, or unavailable network connections, garbled, faulty, or incomplete computer transmissions, typographical or system errors and failures, or for any problems or technical malfunction(s) of any telephone network or lines, computer online systems, servers or providers, computer equipment, or entries not received on account of technical problems or traffic congestion on the internet, the Website or any other websites, or any combination thereof, including any injury or damage to Entrant's or any other person’s computer or mobile device(s) related to or resulting from entering this Sweepstakes or downloading any material for this Sweepstakes, or other telecommunications malfunctions which may limit a Entrant’s ability to participate.

PRIVACY POLICY:

By entering this Sweepstakes, Entrant grants permission to Sponsor and its franchisees and its and their affiliates to collect and use the information you provide for the purpose of administering this Sweepstakes, selecting and notifying the winner of the Sweepstakes, and for all other purposes set forth in these Official Rules. Information collected is subject to Sponsor's privacy policy available at https://www.huntingtonhelps.com/privacy-policy. In the event of a conflict between Sponsor's privacy policy and these Official Rules, these Official Rules shall control and govern.

GOVERNING LAW AND VENUE:

These Official Rules shall be governed by the laws of the State of New Jersey, irrespective of any conflicts of law or choice of law considerations. ANY CLAIM OR ACTION IN CONNECTION WITH THIS SWEEPSTAKES MUST BE BROUGHT EXCLUSIVELY IN A COURT OF COMPETENT JURISDICTION IN THE STATE OF NEW JERSEY. EACH ENTRANT IRREVOCABLY SUBMITS TO THE EXCLUSIVE JURISDICTION OF SUCH COURT IN CONNECTION WITH ANY SUCH CLAIM, ACT, OR PROCEEDING. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH ENTRANT WAIVES ANY AND ALL CLAIMS AGAINST SPONSOR FOR IMPROPER VENUE FOR ANY CAUSE OF ACTION BROUGHT OR FILED IN SUCH COURT OF COMPETENT JURISDICTION AS AN INCONVENIENT OR IMPROPER FORUM.

If any action at law or in equity is necessary to enforce these Official Rules, Sponsor will be entitled to reasonable attorneys' fees and any other relief to which Sponsor may be entitled to at law or in equity.
